This Vendor Agreement ("Agreement") is a legally binding contract between you ("Vendor") and Nuvo. ("Nuvo," "we," "our," or "us") regarding your use of the Nuvo platform to list, rent, and manage your equipment rentals.

By registering as a vendor and listing products on the Nuvo platform, you agree to comply with the following terms:

1. Vendor Eligibility

  • You must be at least 18 years old and legally able to enter into contracts.

  • You are responsible for all information provided in your account and listings.

2. Independent Contractor Relationship

  • Vendors are independent third-party providers, not employees or agents of Nuvo.

  • You are solely responsible for your business operations, taxes, equipment condition, and legal compliance.

  • Nuvo facilitates the transaction but does not own your equipment or supervise the rental process.

3. Listing and Equipment Standards

  • All listings must include accurate descriptions, images, and pricing.

  • Equipment must be in safe, working condition and free from defects.

  • Vendors agree to maintain all equipment in good condition between rentals.

4. Booking and Fulfillment

  • Vendors must confirm availability and coordinate delivery or pickup as per the agreed terms with renters.

  • Prompt and professional communication with customers is required.

  • You must mark items as “Returned” upon receiving them back and choose the appropriate refund type: Full, Partial, or No Refund.

5. Deposits and Refund Process

  • Nuvo requires a deposit on each rental.

  • After return, you must inspect the item and select one of the following:

    • Full Refund – item returned in good condition

    • Partial Refund – minor damage or missing parts

    • No Refund – major damage, theft, or non-return

  • Customers can dispute partial or no refund decisions, at which point Nuvo will mediate and make the final determination.

6. Commission and Payouts

  • Nuvo charges a 20% commission on the total value of each booking.

  • Remaining funds (minus commission and processing fees) are disbursed to Vendors after the rental is completed and the return status is confirmed.

  • Vendors must connect a valid Stripe account or payout method to receive funds.

7. Dispute Resolution

  • Vendors agree to cooperate with Nuvo during disputes.

  • Nuvo’s decision on any customer dispute (e.g., deposit retention, damage claims) is final.

  • Repeated disputes, non-responsiveness, or abusive behavior may lead to account suspension.

8. Legal, Tax, and Safety Compliance

  • You agree to comply with all local, state, and federal laws related to the rental and operation of your equipment.

  • Vendors are responsible for ensuring that renters are using equipment in accordance with the law.

  • Nuvo is not responsible for verifying rental legality or use compliance.

  • Vendors are solely responsible for collecting, reporting, and remitting any applicable local, state, or federal taxes, including sales and use tax.

  • By using the Nuvo platform, you acknowledge that Nuvo does not collect or remit taxes on your behalf unless legally required to do so as a marketplace facilitator.

  • You agree to indemnify and hold Nuvo harmless from any tax-related claims, liabilities, or obligations arising from your use of the platform.

  • You agree to comply with all local, state, and federal laws related to the rental and operation of your equipment.

  • Vendors are responsible for ensuring that renters are using equipment in accordance with the law.

  • Nuvo is not responsible for verifying rental legality or use compliance.

9. Insurance and Risk

  • Vendors are encouraged to carry insurance to protect their equipment.

  • Nuvo is not liable for damage, theft, or misuse of your equipment.

  • Vendors use the platform at their own risk.

10. Termination

  • Nuvo reserves the right to suspend or terminate vendor accounts that violate this agreement or cause harm to the platform or its users.

  • Vendors may terminate their account at any time, but are responsible for fulfilling any existing rentals.

11. Modifications

Nuvo may update this agreement from time to time. Continued use of the platform after updates constitutes acceptance of the revised terms.
